These Terms & Conditions ("Terms") govern your use of the Topdec Trade Assist platform ("the Service"), operated by AutoWorks Systems on behalf of Topdec Decorating Supplies. By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use this Service. By registering, you confirm that the information you provide is accurate and complete.

2. Your Account

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use. We may suspend or terminate accounts that violate these Terms.

3. Subscriptions & Billing

The Service offers paid subscription tiers (Trade, Professional, and Business). Subscription fees are billed monthly in advance through Stripe, our payment processor. By subscribing, you authorise us to charge the recurring fee until you cancel.

Cancelling

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain access until then. No partial refunds are given for mid-period cancellations (see our Refund Policy).

Price Changes

We may change subscription fees with at least 30 days' notice. Any change applies from your next billing date after the notice period.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any local law
Attempt to access, tamper with, or disrupt the Service's systems or data
Reproduce, resell, or redistribute the Service without permission
Submit false, misleading, or fraudulent quote or invoice data
Use the Service to send spam, viruses, or harmful code

5. Product Orders & Third-Party Services

The Service links to product catalogues from topdecbrush.com and may integrate with third-party accounting software (QuickBooks, Xero, Sage, FreshBooks, Moneybird, Wave). We are not responsible for the availability, pricing, or fulfilment of products ordered through third-party sites, nor for the behaviour of third-party integrations. Your use of those services is subject to their own terms.

6. Quotes & Invoices

Estimates, quotes, and invoices generated through the Service are provided as professional tools to assist your business. You remain solely responsible for the accuracy of pricing, quantities, and terms sent to your clients. We do not guarantee that any quote will result in work or payment.

7. Trade Assist Advice

Advice and recommendations provided by Trade Assist are general guidance based on the information you supply. They do not constitute a guarantee of results. Always verify product suitability, surface preparation, and application methods against manufacturer instructions before proceeding.

8. Intellectual Property

All content, branding, software, and features of the Service are owned by AutoWorks Systems or its licensors. Content you upload (client details, photos, quotes) remains yours; you grant us a licence to process it solely to provide the Service to you.

9. Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, AutoWorks Systems and Topdec Decorating Supplies shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including lost profits, lost work, or data loss.

10. Termination

We may suspend or terminate your access if you breach these Terms. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including liability and ownership) remain in effect.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified within the app or by email. Continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
